As Managing Member of Soloway Group PC, Mr. Soloway brings a multifaceted perspective to each engagement, drawing on his experience and expertise as an entrepreneur, investment banker, international strategic advisor, and corporate finance attorney.  

Mr. Soloway’s legal practice focuses advising startups, growth stage companies, and investment funds on formation, structuring, financing, and M&A transactions, as well as general business law. His clients include private and public companies in the United States, Canada, and abroad. He advises growing companies and middle-market issuers on US capital raising activities and strategies; public and private equity transactions; reporting, compliance, and disclosures; and general corporate matters.

Joshua is an expert in strategic growth, securities law, fundraising, venture finance, and international expansion initiatives.  As Managing Director of Rainmaker Global’’s New York office, he launched the firm’s New York office and grew it into the firm’s most profitable office globally, accounting for over 50% of worldwide revenues.  Rainmaker is a leading market expansion and accelerated growth consultancy firm with 15 worldwide offices.  He was Co-Founder and CEO of Ameritus Capital Group, a boutique banking and financial advisory firm focused on institutional private placements in the United States and Canada. Prior to launching his own firm, he advised institutional investors (PE, VC, and Hedge Funds) on fund structuring and international investment transactions at PricewaterhouseCoopers, LLP (PwC).

Over the years, Joshua has participated in numerous entrepreneurial ventures. He began his career as the 12th employee of a  Silicon Valley that was ultimately acquired at a $100M+ valuation, and has been a passionate entrepreneur ever since.

Joshua holds a JD from Boston University School of Law and a BA in International Affairs from the University of Colorado.  He is admitted to practice in the State of New York and is a member of the American Bar Association.  He also holds Series 63 uniform securities and Series 79 Investment Banking  licenses.

In addition to his professional activities, Joshua serves on the board of Child Rescue Association, is an advisor to the Vatican’s Laudato Si Challenge, and the Tech Leaders Alliance. 

He is co-host of Innovation & Leadership and The Funding Lab podcasts, and is a frequent speaker on startups,  international markets, energy, entrepreneurship, and finance.

 

Gerald Adler

With over 30 years of experience in securities law, Mr. Adler serves as Counsel to Soloway Group with a primary focus on advising non-US clients seeking listings on the OTCQX, OTCQB, NYSE, and NASDAQ.  Over the course of his career, Mr. Adler has advised on a broad range of securities, regulatory, and compliance matters, including public and private equity and debt offerings, securities-related federal and state matters, mergers and acquisitions, venture capital financing, and corporate law and governance. 

Mr. Adler has extensive experience in representing issuers and investment banking firms in public and private securities offerings, as well as buyers, sellers and financial advisors in a variety of transactions involving public and private business combinations. He represents a cross-section of clients, including broker-dealers who function as underwriters and placement agents, traditional manufacturers, software developers and technology companies, and is also regularly consulted for pre-public offering advice. He works with placement agents, underwriters, and corporate clients in all aspects of the due diligence related to public and private offerings, as well as in relation to mergers and acquisitions. Prior to entering private practice, 

Mr. Adler served as an Assistant Attorney General of the State of New York in the Bureau of Securities and Real Estate Financing and Special Counsel to the New York Stock Exchange. He also served as a Captain in the Judge Advocates General Corp in the United States Army Reserves.

Mr. Adler is currently a member of the Board of Directors of the National Investment Banking Association (NIBA), a not-for-profit corporation that serves as an association for national, regional and independent broker-dealers, investment banking firms, investment advisors and related capital market service providers. He is admitted to practice in the State of New York and is a member of the American Bar Association. He earned his J.D. degree from Brooklyn Law School and his B.S. degree in Business Administration from Louisiana State University.

Alexis oversees the firm's marketing and business development operations and is instrumental in implementing our strategic priorities.  She brings over 15 years of marketing, public relations, and business development experience in the professional services, entertainment, real estate, and non-profit sectors. Her clients include Live Nation, Feld Entertainment, Disney on Ice, and Ringlin Bro. and Barnum & Bailey and many other prominent brands. Prior to joining Soloway Group she was Director of Event Marketing and Sales for Feld Entertainment Inc.  Her nonprofit work includes fundraisers for organizations such as the American Cancer Society, American Heart Association, American Diabetes Association, Fairfield Public Schools, Alex’s Lemonade Stand, and Girl Scouts of America.

As Head of Legal Operations, Morgana is responsible for the firm's daily operations, account management, effective service delivery, and ongoing process optimization.  Morgana is an experienced paralegal with over 12 years of experience in corporate, contract, civil litigation, and real estate law.  Prior to joining Soloway Group, she provided paralegal, operational support, and management services for an energy company and numerous private law firms.  She loves helping her community to become the best version of themselves possible and is always looking for opportunities to make the world a better place!

 

 

Sherry L. Green

Head of Accounting and Finance

Ms. Green brings over 30 years of senior executive experience.  Prior to joining Soloway Group, Ms. Green served as the Chief Operating Officer and Vice President of Physician Relations for Doctors Corporation of America, where she directed the operations of its California clinics, as well as a large network of clinics and individual practice associations in Maryland, Nevada, and Massachusetts. During her tenure at Doctors Corporation of America, Ms. Green conducted ongoing assessments of the company’s financial health and implemented targeted action plans to resolve financial deficiencies throughout the company.  

Ms. Green was previously Vice President of Operations for Benchmark Administrative Services Company, where she was principally responsible for business development and practice management services.  She is the Founder and President of the practice management consulting firm, S. L. Green & Associates, where she advises professional services firms and a diverse range of health care companies.

Ms. Green is an active member of the National Association of Professional Women, Medical Group Managers Association, the Professional Association of Health Care Office Management, and the American Academy of Professional Coders.  She has also served as a trustee on the Brea Community Hospital Board of Trustees.
